Welcome to Zimbs Valetex Advisory. These Terms of Service govern your use of our website, platform, and related services. By accessing or using our Services, you agree to be bound by these Terms.
Enterprise Licensing
Access to our platform is provided on a subscription basis under the terms outlined in your Enterprise Agreement (EA). The Services remain the exclusive property of Zimbs Valetex Advisory. No part of the platform, including but not limited to source code, algorithms, valuation models, and report templates, may be reproduced, distributed, or reverse-engineered without prior written consent.
Financial Data Responsibilities
The calculations, reports, and models provided by Zimbs Valetex Advisory (including 409A and ASC 820 reports) depend entirely on the accuracy of the cap table and financial inputs you provide. We do not assume liability for audits failing due to explicitly incorrect data entry by the user. You are solely responsible for verifying the completeness and accuracy of all inputs.
Limitation of Liability
To the maximum extent permitted by applicable law, Zimbs Valetex Advisory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total aggregate liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
Intellectual Property
All content, features, and functionality of the Services — including valuation methodologies, OPM engines, DLOM models, report templates, and user interface designs — are owned by Zimbs Valetex Advisory and are protected by international copyright, trademark, patent, and trade secret laws.
Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately. All provisions which by their nature should survive termination shall survive.
Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Zimbs Valetex Advisory is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration.
